These Terms shall be governed by and construed in accordance with the laws of the State of Georgia and the United States of America, without giving effect to any principles of conflicts of law. You irrevocably consent to the exclusive jurisdiction of the courts located in the State of Georgia in connection with any action arising out of or related to these Terms or their subject matter. You waive any objection based on lack of personal jurisdiction, place of residence, improper venue, or forum non-conveniens in any such action.
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by a Force Majeure Event. A “Force Majeure Event” means any act or event beyond our reasonable control, including strikes, lock-outs, or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks, or impossibility of the use of railways, shipping, aircraft, motor transport, or other means of public or private transport. If a Force Majeure Event takes place that affects the performance of our obligations under these terms we will contact you as soon as reasonably possible to notify you. Our obligations under these terms will be suspended, and the time for performance of our obligations will be extended for the duration of a Force Majeure Event. Where a Force Majeure Event affects our delivery of products to you, we will arrange a new delivery date with you after the Force Majeure Event is over.
IN ANY DISPUTE, NEITHER YOU NOR ANY OTHER PERSON SHALL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER AFFILIATES OR PERSONS, OR ARBITRATE ANY CLAIM AS A REPRESENTATIVE OR CLASS ACTION OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. Soar Hub Solutions reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. These Terms and any document expressly referred to in these Terms constitute the entire agreement between you and us and supersede and extinguish all previous agreements, promises,
assurances, warranties, representations, and understandings between us, whether written or oral, relating to its subject matter.
We may revise these Terms from time to time in our sole discretion. Every time you use our websites or services, the Terms in effect at that time will apply to such use. We may transfer our rights and obligations under these Terms to another organization, but this will not affect your rights or our obligations under these Terms.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of these Terms for all purposes.
